CloudCostReport Terms of Service
These Terms of Service (these “Terms”) describe your rights and responsibilities when using our online cost monitoring and reporting programs and Services located at cloudcostreport.com, api.cloudcostreport.com, or via the CloudCostReport Slack app (collectively, the “Services”). Please read these Terms carefully; if you don’t agree to be bound by these Terms, you aren’t allowed to access or use the Services.### 1.1 These Terms Form a Binding ContractUnless the parties have mutually executed a different agreement covering your use of the Services, these Terms form a binding contract between Customer and Sassly Technologies Pvt Ltd. “We,” “our,” and “us” refer to Sassly Technologies Pvt Ltd, while “Customer” or “you” refers to you (or, as applicable, the company or entity that you represent). The “Effective Date” of these Terms is the date that you first use our website or access any of our Services. If you access or use the Services in your capacity as an employee, consultant, or agent of a company or other entity, you represent that you have the authority to bind that company or entity to these Terms.### 1.2 These Terms Contain an Arbitration ProvisionThese Terms contain an arbitration provision (see Section 12, below). Please review the arbitration provision carefully, as it affects your rights. By using the Services or any part of them, you understand and agree to be bound by the arbitration provision.### 1.3 Ordering SubscriptionsA subscription allows you (and a specified number of your authorized users) to access the Services. A subscription can be obtained via the Services’ “billing” interface, or you can get a subscription via an order form entered into between the parties (an “Order Form”). We have several different types of subscription plans, including a free plan. One person or legal entity may not sign up for more than one free plan. Subscriptions commence when we make them available to you and continue for the term specified in the “billing” interface or Order Form, unless terminated in accordance with these Terms.### 1.4 We Can Modify These TermsWe reserve the right to change or modify these Terms at any time upon notice to you. Such notice may be provided through email, a notice on the Services, or by posting the revised Terms on our website. Any changes or modifications will be effective upon notice. Your continued use of the Services following such notice constitutes your acceptance of the modified Terms.## 2. Accessing and Using the Services### 2.1 Access GrantSubject to compliance with these Terms, Sassly Technologies Pvt Ltd grants you a limited, non-transferable, non-exclusive, revocable right and license to access and use the Services for your internal business purposes, for the subscription term for which you have paid applicable fees.### 2.2 RestrictionsExcept as expressly authorized by these Terms, you may not:
- Modify, alter, or create derivative works of the Services.
- License, resell, or distribute the Services.
- Reverse engineer, decompile, or attempt to discover the source code.
- Use the Services for illegal purposes.
- Interfere with the integrity or performance of the Services.### 2.3 RegistrationTo access certain features of the Services, you must have a valid account on Slack or another supported collaboration service (a “Third Party Account”). You may need to link your CloudCostReport account with a Third Party Account, granting us access to your data as permitted by that service’s terms.### 2.4 Slack License RequirementThe availability of the Services depends on your valid license to use Slack. These Terms are between you and Sassly Technologies Pvt Ltd, not with Slack. Your use of Slack is governed by Slack’s terms of use.## 3. Privacy PolicyPlease review our Privacy Policy at www.cloudcostreport.com/privacy-policy for more information on how we collect and use data. By using the Services, you consent to our collection, use, and disclosure of information as set forth in our Privacy Policy.## 4. Intellectual PropertyThe trademarks, logo, and slogans of CloudCostReport are owned by Sassly Technologies Pvt Ltd. You may not use them without written permission. We respect intellectual property rights and expect our users to do the same. Unauthorized reproduction or distribution of copyrighted content is strictly prohibited.## 5. Service Level UnderstandingWe endeavor to ensure 99% uptime of our Services but do not guarantee uninterrupted access. If downtime occurs, we may offer monetary credits at our sole discretion, reflected in your monthly invoice.## 6. Limitation of LiabilityTO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER CLOUDCOSTREPORT NOR ITS AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS.## 7. JurisdictionThese Terms shall be governed by the laws of India, and the courts at New Delhi shall have exclusive jurisdiction over disputes arising hereunder.## 8. IndemnityYou agree to indemnify and hold harmless CloudCostReport and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your infringement of any third-party rights.## 9. Third-Party LinksThe Services may contain links to third-party websites. We are not responsible for the content, policies, or practices of any third-party websites or services linked to or integrated with our Services.## 10. FeedbackIf you send us feedback or suggestions regarding the Services, we may use them without obligation or compensation to you. You grant us an unlimited, irrevocable, perpetual, royalty-free license to use any feedback you provide.## 11. Modification of TermsWe reserve the right to change or modify these Terms at any time. Your continued use of the Services following notice of modifications constitutes acceptance of the new Terms.## 12. Dispute Resolution and ArbitrationAll disputes arising out of these Terms shall be resolved by arbitration in New Delhi, India. The arbitration will be conducted in English, and the decision of the arbitrator will be final and binding. Sassly Technologies Pvt Ltd may seek injunctive relief in any court of competent jurisdiction.By using CloudCostReport, you agree to these Terms. If you do not agree, please discontinue your use of the Services.
